(\u201cEPH\u201d) and the direct parent of EP Energy, a.s., announced today that it has launched an offering of euro-denominated fixed rate senior notes due 2021 (the \u201cNotes\u201d) in an aggregate principal amount of \u20ac500 million.<\/p>\n
The proceeds from the offering, if completed, will be applied in prepayment in full of the outstanding senior indebtedness of CE ENERGY under a senior credit facility agreement entered into in December 2013 (which was used in part to fund a loan to EPH) and cancellation thereof, in repayment of a portion of certain subordinated shareholder indebtedness, towards payment of fees, costs and expenses related to the offering and with remaining amounts available as cash reserves.<\/p>\n
